In this enforcement case, the OSC says the respondents, a fund manager, its CEO, and the members of the funds' Investment Review Committee, put their own interests first instead of acting for the Emerge Canada funds.

Two respondents, Langley and Emerge Canada, want to use expert witnesses to give opinions on several topics. The OSC says most of those topics do not relate to the allegations in the case and would not help the Tribunal decide the issues at the merits hearing. The OSC also questions whether the experts are qualified.

The Tribunal decided that topics that do not relate to the allegations cannot be included.

The Tribunal found that some topics—like supervision and compliance systems—are mentioned in the allegations but it is too early to decide whether the evidence is relevant or necessary. These issues will be addressed at the merits hearing, where the parties can challenge the experts’ qualifications and evidence if Emerge Canada and Langley choose to call them.
